Terms of Service

These Terms of Service ("Terms") govern your use of the Brand Anchor website at brandanchor.app and the application at dashboard.brandanchor.app (collectively, the "Service"), operated by Brand Anchor ("we", "us", "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Brand Anchor is a digital asset management, client review, and approval platform for creative teams. It allows registered users to upload files, organise them into campaigns and folders, manage version history, share assets with clients via secure links, collect comments and approvals, and track workflow status — all without requiring clients to create an account.

2. Account Registration

• You must provide accurate and complete information when registering.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at [email protected] if you believe your account has been compromised.
• You must be at least 18 years old to create an account.

3. Guest Client Access

You may share assets with clients via secure, token-based share links. Clients who access these links ("Guests") do not need to create an account. Guests may leave comments (including pixel-pinned comments and video-timestamped comments on supported plans), approve or reject assets, and download files if you have enabled downloads on the link.

You are responsible for ensuring that the people you share links with are authorised to view the content in those links. You may password-protect share links on eligible plans.

4. Subscription Plans and Billing

We offer the following subscription plans, billed monthly:

Plan limits (storage, assets, share links, egress) are enforced automatically. Exceeding a limit may place your workspace in a read-only state until you upgrade or reduce your usage.

5. Free Trial

New accounts may be eligible for a free trial of paid features. You will not be charged during the trial period. If you do not cancel before the trial ends, your account will convert to a paid subscription and you will be billed at the applicable rate.

6. Payment and Refunds

• Subscriptions are billed monthly in advance.
• Payment is processed by a third-party payment provider. We do not store your full payment card details.
• All payments are non-refundable, including partial months of unused service. If you cancel mid-cycle, you retain access until the end of the current billing period.
• We reserve the right to update pricing with at least 30 days' notice to active subscribers.

7. Cancellation and Data Deletion

• Cancellation: You may cancel your subscription at any time from your account settings. Access to paid features continues until the end of the current billing period.
• 30-day grace period: After your subscription ends, your data is retained for 30 days to allow reactivation. After 30 days, all data is automatically and permanently deleted from our systems.
• Account deletion: You may permanently delete your account at any time from your settings. This is immediate and irreversible — all your data, all teams you own, and all uploaded assets are deleted instantly with no recovery option.

8. Content Ownership

• Your ownership: You retain full intellectual property rights over all files, assets, and content you upload. We claim no ownership over your work.
• Licence to us: By uploading content, you grant us a limited, non-exclusive, royalty-free licence to host, store, reproduce, and display your content solely as necessary to provide the Service to you — for example, to generate thumbnails, serve previews, and deliver files to your clients via share links. This licence ends when you delete the content or your account.

9. Prohibited Content and Use

You agree not to upload, share, or use the Service to distribute content that:

• Is illegal or promotes illegal activities.
• Is sexually explicit, adult, or NSFW.
• Contains malware, viruses, or malicious code.
• Infringes the intellectual property rights of any third party.
• Constitutes spam, phishing, or unsolicited commercial communication.

You also agree not to:

• Attempt to reverse-engineer, scrape, or extract data from the Service beyond what is permitted by your plan's API access.
• Share your account credentials or allow others to access the Service under your account.
• Circumvent any rate limits, storage limits, or access controls.
• Use the Service in a way that disrupts or degrades performance for other users.

We reserve the right to suspend or permanently terminate accounts that violate these terms, with or without notice.

10. API Access

You may generate API keys and connect third-party applications via OAuth to access the Brand Anchor API programmatically. API access is rate-limited. Excessive API usage that impacts service performance for other users may result in temporary throttling or suspension of API access. You are responsible for securing your API keys and OAuth tokens. Do not commit them to public repositories. You can revoke keys and tokens at any time from your account settings.

11. Data Export

You may export a copy of all your personal data at any time from your account settings. Studio plan subscribers additionally have access to full audit logs and team-level data exports.

12. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled or emergency maintenance that temporarily affects availability. We are not liable for losses resulting from downtime.

13. Limitation of Liability

To the maximum extent permitted by law, Brand Anchor and its team members shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service, including but not limited to data loss, business interruption, or loss of profits. Our total cumulative liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

14. "As Is" Disclaimer

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or available at all times.

15. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation first. If unresolved, disputes shall be subject to binding arbitration or the jurisdiction of the courts applicable to Brand Anchor's place of operation.
